1. Role/Purpose
The role of the Board of Directors is to implement the resolutions of the shareholders meeting and commit to achieving the sustainable and healthy development of the University.
2. Term of Office
This responsibility will be effective from the release of announcement document and will last until the termination of the agreement between the two sides.
3. Members (Last version: June 29, 2020)
The board of directors will be composed of:
-Yu Guo, Chairman
-Deng Hong, Vice Chairman & General Secretary of University Committee of CPC
-Yu Kai, Vice Chairman
-Zhang Haitao, President
-Hu Jianfeng, Vice President
-Huang Huiling, Deputy Secretary of University Committee of CPC
-Qiu Jinghua, Teacher
4. Roles and Responsibilities
The Board of Directors is responsible for the following affairs:
-Appoint and dismiss JXUT Presidents.
-Amend the JXUT constitutions and formulate JXUT rules and regulations.
-Formulate development plans and approve annual work plans.
-Raise University funding, review budgets and finalize accounts.
-Determine the quota and salary standard of faculty and staff.
-Decide on the division, merger and termination of the University.
-Decide on the setup of the internal organizations.
-Review the work report of the President.
-Other functions and powers stipulated by laws and University regulations.
5. Meeting
All meetings will be hosted by Yu Guo, the Chairman.
The quorum for the meeting is 7 board members. (100% member attendance is required.)
The meeting agendas and minutes will be provided by Chen Chuan (the Secretary of Yu Guo) and the Office of the Board of Directors, which includes preparing the agendas and supporting documents and preparing meeting minutes and information.
The meetings will be held every six months in the Third Meeting Room of the South Administration Building.
6. Amendment, Modification or Change
The terms of reference can be amended, modified or changed in writing after consultation and approval by the members of the Board of Directors.
